Terms & Conditions

Corporate terms governing NAVIQUE and international B2B trade transactions managed through Deltamaris Global.

Effective 3 October 2026

1. Definitions and Interpretation

In these Terms & Conditions:

  • "Company", "Deltamaris", "we", "us" or "our" means DELTAMARIS GLOBAL LTD., Bangladesh.
  • "NAVIQUE" means the digital trade, procurement, logistics and transaction-management platform operated by DELTAMARIS GLOBAL LTD.
  • "Buyer" means a customer or business entity purchasing or seeking to purchase products or services through a transaction managed through NAVIQUE.
  • "Supplier" means a supplier, producer, manufacturer or other commercial source participating in a transaction.
  • "RFQ" means a request for quotation or other commercial enquiry submitted through NAVIQUE.
  • "Quotation" means a commercial quotation issued by Deltamaris in response to an RFQ.
  • "Order" means an order accepted by Deltamaris in accordance with the applicable quotation, order confirmation or contract.
  • "Contract" means an International Sales Contract or other written agreement governing a transaction.
  • "Trade Documents" means quotations, order confirmations, contracts, proforma invoices, commercial invoices, packing lists, certificates, shipping records and related documents.
  • "Incoterms" means the applicable ICC Incoterms rules and version expressly identified in the transaction.

Headings are for convenience only and do not affect interpretation. References to applicable law include amendments, replacements and binding subordinate instruments.

2. Company and NAVIQUE

DELTAMARIS GLOBAL LTD. is a Bangladesh-based international trading and export company. NAVIQUE is its digital trade-operations and transaction management platform.

NAVIQUE supports commercial workflows including product discovery, RFQs, quotations, orders, contracts, proforma invoices, shipment coordination, trade documentation and delivery records.

NAVIQUE is not a customs authority, bank, carrier, freight forwarder, customs broker, inspection body, certification authority, government agency or legal adviser. Where NAVIQUE integrates with or references such services, the relevant third party remains responsible for its regulated function.

3. Eligibility and Business Accounts

NAVIQUE is principally intended for business and professional use. Users must provide accurate, complete and current information and must have authority to represent the business for which they act.

We may conduct business verification, KYB, sanctions screening, identity verification, document verification or other reasonable commercial due diligence before accepting or continuing a transaction.

A user is responsible for safeguarding credentials and for activity conducted through its account, except to the extent caused by our failure to apply legally required or contractually agreed security measures.

4. RFQs and Commercial Enquiries

An RFQ is an invitation for commercial consideration and does not by itself constitute an offer, order or binding sales contract.

The information contained in an RFQ should accurately identify the requested product, quantity, specifications, destination, packaging, required delivery date and other commercially relevant requirements.

Deltamaris may request clarification or additional compliance, technical, financial or commercial information before issuing a quotation.

5. Quotations

A quotation may specify product identity, specifications, quantity, price, currency, minimum order quantity, packaging, origin, Incoterms, named place, payment terms, validity period, destination, lead time and other conditions.

Unless expressly stated otherwise, a quotation is valid only for the period stated in it and is subject to availability, compliance requirements, supplier confirmation and applicable law.

A quotation becomes binding only in accordance with its stated terms and the applicable order or contract-acceptance process.

6. Orders and Acceptance

No order is binding on Deltamaris until accepted by Deltamaris in writing, electronically through an authorised NAVIQUE workflow, or through another expressly agreed mechanism.

Deltamaris may decline an order where product availability, compliance, credit, payment, export control, sanctions, destination requirements or other material circumstances prevent lawful or commercially reasonable fulfilment.

7. International Sales Contracts

Where a transaction requires an International Sales Contract, the parties may execute a separate contract setting out the agreed commercial, legal and operational terms.

Once executed, the International Sales Contract governs the matters covered by it. NAVIQUE may preserve an immutable or controlled transaction snapshot of the relevant contractual information.

Neither a later change to a user profile nor a later change to a Product Master record automatically changes a historical executed contract or completed transaction record.

8. Order of Precedence

Unless the applicable transaction documents expressly provide otherwise, the following hierarchy applies to inconsistent commercial terms:

  1. Mandatory applicable law;
  2. Executed International Sales Contract;
  3. Accepted Order or Order Confirmation;
  4. Accepted Quotation;
  5. Approved product and technical specification;
  6. These NAVIQUE Terms & Conditions.

A specific written agreement may modify this hierarchy for the transaction to which it expressly applies.

9. Products, Specifications and Origin

Product information may include product name, technical specification, HS code, country of origin, unit, minimum order quantity, certifications, packaging and other information.

Where a transaction contains a product or specification snapshot, that snapshot records the information applicable to the relevant transaction stage. It does not itself constitute a government certificate, laboratory certificate, customs ruling or independent legal determination.

Country-of-origin claims, preferential-origin claims and certification requirements are subject to applicable origin rules and supporting documentation.

10. Product Compliance

Certain products require additional regulatory controls. Depending on the product and destination, this may include food safety, sanitary/phytosanitary requirements, veterinary or health certificates, plant-health certificates, laboratory testing, inspection, textile labelling, chemical restrictions, packaging requirements, consumer-product requirements and buyer-specific standards.

For seafood, frozen food, vegetables, spices, garments, jute, bamboo and other regulated or conditionally regulated products, the parties must comply with the requirements applicable to the product, origin, destination and intended use.

11. Export Compliance

Deltamaris conducts export activities subject to applicable Bangladesh laws, rules, policies, customs requirements, banking requirements and export-control requirements.

The applicable Bangladesh export framework includes the Export Policy 2024โ€“2027 and other laws, rules, orders, circulars, notifications and requirements applicable to the particular product and transaction.

A transaction may be delayed, suspended or cancelled if an export licence, permit, certificate, inspection, customs approval, banking requirement or other mandatory condition is not available.

12. Import and Destination-Market Compliance

The Buyer, importer, consignee and other destination-side parties are responsible for complying with the mandatory requirements of the destination jurisdiction applicable to their role.

Depending on the transaction, destination requirements may include customs declarations, importer registration, EORI or equivalent identification, product registration, food controls, SPS measures, labelling, packaging, market surveillance and other regulatory requirements.

Deltamaris may provide commercially agreed documents and information but does not guarantee that a destination authority will approve, release or accept a shipment.

13. Export Controls, Sanctions and Restricted Transactions

Each party must comply with applicable sanctions, embargoes, export controls, import restrictions, restricted-party requirements and prohibitions applicable to the transaction.

Deltamaris may conduct screening and may suspend, refuse or terminate a transaction where necessary to comply with applicable law, governmental requirements, banking restrictions or responsible trade controls.

A user must not provide false information intended to conceal the identity of a party, destination, product, origin, end use or ultimate consignee.

14. Prices, Currency and Taxes

Prices are stated in the currency shown in the applicable quotation or contract.

Unless expressly included, prices do not automatically include destination customs duties, import taxes, VAT or GST, inspection charges, storage charges, demurrage, detention, banking charges or other destination-side costs.

Taxes and government charges are allocated according to applicable law, the transaction documents and the agreed Incoterms rule.

15. Incoterms

Where Incoterms are used, the applicable rule, version and named place should be expressly identified in the quotation, order or contract.

Incoterms allocate defined delivery-related responsibilities, costs and risk between the parties. They do not by themselves determine ownership, payment obligations, applicable law or every aspect of the contract.

16. Payment

Payment must be made using the method and within the period specified in the applicable quotation, order, proforma invoice or contract.

Depending on the transaction, payment may be subject to advance payment, bank transfer, documentary arrangements, letter of credit, open account or another agreed mechanism.

Deltamaris may suspend procurement, production, shipment or document release where payment conditions have not been satisfied.

17. Banking and Payment Realisation

International payments may be subject to banking compliance, correspondent-bank screening, foreign-exchange controls, sanctions screening, documentary requirements and applicable Bangladesh Bank requirements.

A shipment being delivered does not necessarily mean that the financial side of an export transaction is closed. Payment realisation, bank documentation and other closure requirements may remain outstanding.

18. Procurement, Production and Supplier Performance

Where Deltamaris procures or coordinates products from third-party suppliers, supplier availability and performance may affect lead times, quantities and delivery schedules.

Deltamaris will use commercially reasonable measures to coordinate procurement and fulfilment but is not responsible for circumstances outside its reasonable control, subject to the applicable contract.

19. Inspection and Quality

Where pre-shipment inspection, laboratory testing, third-party inspection or buyer approval is required, the applicable inspection standard, scope and responsibility should be specified in the transaction documents.

A certificate or inspection report issued by an independent body remains subject to that body's terms and findings.

20. Packaging and Marking

Products must be packaged, marked and labelled in accordance with the applicable quotation, contract, destination requirements and mandatory law.

The Buyer must provide destination-specific packaging, marking or labelling requirements within the agreed time where such requirements are the Buyer's responsibility.

21. Export Documentation

Depending on the transaction, documents may include commercial invoices, packing lists, certificates of origin, health or phytosanitary certificates, inspection certificates, transport documents, customs documents, insurance documents and other certificates.

Documents generated through NAVIQUE must be reviewed by the responsible party before submission to a customs authority, bank, carrier, buyer, importer or other third party.

22. Shipping, Delivery and Risk

Shipment arrangements, delivery dates, ports, named places, transport documents and risk allocation are governed by the applicable transaction documents and Incoterms.

Carrier schedules, port operations, customs processing, inspections, weather, congestion, strikes, regulatory intervention and other events may affect estimated delivery dates.

23. Buyer, Consignee, Notify Party and Importer

The commercial Buyer, consignee, notify party and importer are separate roles and may be different legal or natural persons.

The party responsible for providing or verifying each role must ensure that the information supplied to Deltamaris is accurate and legally authorised for use in the transaction.

24. Title and Risk

Transfer of title and allocation of risk are governed by the applicable sales contract and agreed transaction terms. Incoterms may allocate delivery-related risk but do not automatically determine title to goods.

25. Claims, Discrepancies and Notice

Claims concerning quantity, quality, packaging, documentation, transport damage or other discrepancies must be notified within the period specified in the applicable contract or, where no period is specified, within a reasonable period after discovery.

Claims should include sufficient supporting evidence, including photographs, inspection reports, transport records, batch or lot information and relevant documents where applicable.

26. Force Majeure

Neither party will be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, war, civil disturbance, epidemic or pandemic measures, government action, sanctions, export or import restrictions, port closure, carrier disruption, strikes, major infrastructure failure, cybersecurity incidents affecting critical third-party services, or other comparable events.

The affected party should notify the other party within a reasonable period and take commercially reasonable steps to mitigate the impact.

27. Electronic Records and Communications

The parties may use electronic communications, electronic records, electronic approvals and digital transaction workflows through NAVIQUE where legally permitted.

NAVIQUE may retain transaction records, timestamps, document versions, audit information and transaction snapshots to preserve the history of a commercial transaction.

28. Confidentiality

Non-public pricing, specifications, business information, customer information, supplier information, transaction records and documents received through NAVIQUE must be treated as confidential and used only for legitimate business purposes, subject to applicable law and any separate confidentiality agreement.

29. Intellectual Property

NAVIQUE, its software, interface, database structures, workflows, branding, documentation and technology are owned by or licensed to Deltamaris or its relevant licensors.

No user receives ownership of NAVIQUE intellectual property merely by using the platform.

30. Third-Party Services

NAVIQUE may rely on third-party services for hosting, authentication, payments, email, storage, logistics, transport, analytics, security and other functions.

Third-party services remain subject to their own terms and limitations. Deltamaris does not assume responsibility for independent acts or failures of third parties outside its reasonable control.

31. Suspension and Termination

Deltamaris may suspend or restrict access where reasonably necessary for security, legal compliance, fraud prevention, sanctions compliance, non-payment, misuse or protection of the platform and its users.

Termination does not automatically extinguish obligations already arising under an accepted order, executed contract, payment arrangement or applicable law.

32. Disclaimers

NAVIQUE is an operational technology platform. Information available through NAVIQUE does not constitute legal, customs, tax, regulatory, financial or professional advice.

Except as expressly provided in a written transaction document, Deltamaris does not independently warrant that a product will satisfy every requirement of every destination jurisdiction.

33. Limitation of Liability

To the maximum extent permitted by applicable law and subject to the applicable sales contract, Deltamaris will not be liable for indirect, incidental, special or consequential loss arising from third-party carrier failures, customs decisions, governmental actions, port congestion, banking restrictions, market changes or information supplied by another party.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

34. Indemnity

To the extent permitted by applicable law, a party responsible for false, unlawful or unauthorised information, instructions or use of NAVIQUE will be responsible for losses and reasonable costs directly arising from that breach, subject to the applicable contract and law.

35. Privacy and Data Protection

Personal information is processed in accordance with the NAVIQUE Privacy Policy and applicable data-protection law.

Deltamaris operates from Bangladesh and will apply the requirements of the Bangladesh Personal Data Protection Act 2026 and other applicable data-protection and cybersecurity requirements to the extent relevant to its processing activities.

Where another privacy law, including the GDPR, applies to particular processing, the relevant mandatory requirements and safeguards will be considered according to the circumstances.

36. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh, subject to mandatory provisions of applicable law that cannot lawfully be excluded.

The parties should first attempt in good faith to resolve disputes through commercial negotiation. Where a dispute cannot be resolved amicably, it may be submitted to a court or other dispute-resolution forum having appropriate jurisdiction under applicable law and the relevant transaction documents.

37. Changes to These Terms

Deltamaris may update these Terms to reflect changes in NAVIQUE, business operations, applicable law, regulatory requirements or international trade practices.

The current published version will state its effective date. Transaction-specific contractual rights are not retroactively changed merely by publishing a new website version.
